The opportunity

An exciting opportunity exists in our Legal department within our Corporate Office for a Legal Counsel, located in Toronto, Ontario.

The purpose of this position is to provide legal advice and legal services to the Corporate Head Office, Business Units and subsidiaries of the Corporation under the direction of the senior legal team. The role supports a range of legal matters including corporate, commercial, governance, regulatory, financing and transactional matters and assists in ensuring compliance with applicable laws and regulatory requirements.

In this role, you will be accountable for:

  • Providing legal advice, under the direction of the senior legal team, to the Corporate Head Office and Business Units in Alberta and Cuba on matters including corporate and commercial issues, corporate governance, finance, employment, litigation and regulatory matters.
  • Supporting the preparation and filing of certain continuous disclosure documents, including the Annual Information Form and Management Information Circular, and providing legal advice relating to public company disclosure and securities law matters.
  • Providing support in the application and interpretation of Cuban joint venture agreements, production sharing contracts and marketing agreements, including advising on contractual interpretation and reviewing draft agreements.
  • Assisting the Board of the Metals Joint Venture, as instructed and overseen by the Senior Legal Counsel.
  • Supporting in the negotiation and execution of key corporate, commercial, financial, transactional and other legal matters and represent the Corporation in related dealings with third parties, including joint-venture partners.
  • Conducting legal research and assist in the preliminary review and negotiation of commercial agreements and other legal arrangements affecting the Corporation.
  • Assisting with corporate and subsidiary formation (excluding joint ventures), corporate governance matters and mandatory corporate filings as instructed by the Senior Legal Counsel.
  • Supporting the development and monitoring of policies, procedures and compliance programs to ensure adherence to applicable legal and regulatory requirements.
  • Remaining apprised of changes to legislation relevant to the Corporation, including Cuban and U.S. embargo legislation and other applicable regulatory frameworks.

Skills and attributes for success:

  • Lawyer with a minimum of 2 years’ post-qualification experience.
  • J.D. or LL.B.; member of a Canadian Law Society.
  • Knowledge of and experience with a range of legal matters, including Canadian corporate law, corporate finance, corporate governance matters, commercial contracts and litigation.
  • Experience with public company disclosure and securities law matters considered an asset.
  • Experience in mining, energy or large industrial sector operations preferred.
  • M&A and securities law background considered an asset.
  • Fluency in Spanish, considered an asset.

Expected Compensation: Base salary $116,400 - $145,500 CAD per year, with a a target performance bonus of 20% of base salary. The final base salary will be determined based on the candidate's experience, skills, internal equity considerations, team structure and relevant market benchmarks for comparable roles. This position includes comprehensive benefits.

Flexible Work Arrangements: This position is eligible for flexible working arrangements to support a balance between time in the office and remote work.
